These Terms and Conditions (the "Terms") govern your access to and use of the website at rswe.co (the "Site"), operated by Red Sea Wind Energy S.A.E. ("RSWE", "we", "us", or "our"), an Egyptian joint-stock company with its registered office at The NOX, Plot 341 to 345, 2nd Floor, 5th Settlement, 11835 New Cairo, Egypt. Please read these Terms carefully before using the Site.
1. Acceptance of Terms
By accessing the Site, browsing its pages, or submitting any form, you acknowledge that you have read these Terms and our Privacy Policy and that you agree to be bound by them. If you do not agree, please do not use the Site. These Terms apply to all visitors and users, whether anonymous or identified.
2. Use of the Website
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. In particular, you agree not to:
- attempt to gain unauthorised access to any part of the Site, the underlying infrastructure, or any account or system associated with it;
- use the Site to transmit malware, conduct denial-of-service attacks, scrape content at a rate or volume that disrupts service, or circumvent rate-limiting or anti-abuse measures;
- impersonate any person or misrepresent your affiliation when submitting a form;
- submit content that is defamatory, fraudulent, obscene, harassing, infringing, or unlawful under Egyptian law; or
- use the Site to publish, transmit, or solicit content that is intended to defraud, deceive, or harm any person.
3. Content and Intellectual Property
All intellectual property rights in the Site and its content — including text, graphics, photographs, videos, illustrations, the RSWE name and logo, and the underlying software — are owned by RSWE or by our licensors, and are protected by Egyptian and international intellectual-property laws. Nothing on the Site grants you any licence to use any RSWE trademark, logo, or trade name without our prior written consent.
Certain materials on the Site are published as public-interest disclosures required by lender and regulatory commitments — including the project Environmental and Social Impact Assessment ("ESIA"), Stakeholder Engagement Plan, Grievance Mechanism documents, and other public-domain disclosure documents. Those materials may be downloaded, quoted, and redistributed for non-commercial public-interest purposes provided that (i) RSWE is identified as the source, (ii) the document is not altered or misrepresented, and (iii) no implication of RSWE endorsement is made for any other content. All other content remains subject to the standard reservation of rights above.
4. User-Submitted Content
When you submit information through any form on the Site (contact, grievance, or newsletter), you confirm that the information you provide is accurate to the best of your knowledge and that you have the right to submit it.
By submitting content, you grant RSWE a non-exclusive, royalty-free, worldwide licence to receive, store, review, and process that content for the purpose of responding to your submission and operating the relevant mechanism (for example, investigating a grievance or routing a contact enquiry). The handling of personal data within submissions is governed by our Privacy Policy.
Grievance submissions are treated as confidential within RSWE and shared with our shareholders, lenders, and independent monitors only to the extent necessary to investigate and respond, in accordance with the project Grievance Mechanism and the Equator Principles. Where you submit a grievance anonymously, no identifying information is collected.
5. Disclaimers
The Site and its content are provided on an "as is" and "as available" basis. While we make reasonable efforts to keep the Site accurate and up to date, RSWE makes no warranty — express, implied, statutory, or otherwise — as to the accuracy, completeness, currency, fitness for a particular purpose, or non-infringement of any content on the Site.
Disclosure documents (including the ESIA and supplemental disclosures) are point-in-time records. They reflect the project as understood at the time of publication and may be superseded by later disclosures. You should not rely on any such document as current advice without verifying it against the most recent version. Information on the Site is provided for general information only and does not constitute legal, financial, technical, or environmental advice.
6. Limitation of Liability
To the maximum extent permitted by Egyptian law, RSWE, its shareholders, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your access to or use of the Site, regardless of the legal theory on which the claim is based and even if RSWE has been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Egyptian law, including liability for fraud, gross negligence, or wilful misconduct.
7. Indemnification
You agree to indemnify, defend, and hold harmless RSWE and its shareholders, directors, officers, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to (i) your breach of these Terms, (ii) your misuse of the Site, or (iii) your violation of any applicable law or the rights of any third party in connection with your use of the Site.
8. Governing Law and Dispute Resolution
These Terms and any non-contractual obligation arising out of or in connection with them are governed by, and shall be construed in accordance with, the laws of the Arab Republic of Egypt, without regard to conflict-of-laws principles.
Any dispute arising out of or in connection with these Terms or your use of the Site shall be submitted to the exclusive jurisdiction of the competent courts of Cairo, Egypt. Without prejudice to the foregoing, commercial disputes between business entities may be brought before the Cairo Economic Court in accordance with Law No. 120 of 2008 on the Establishment of Economic Courts. Nothing in these Terms restricts our right to seek injunctive or other equitable relief in any competent court to protect our intellectual property or confidential information.
9. Changes to These Terms
We may modify these Terms at any time. The "Last updated" date at the top of this page indicates when they were last revised. Where a change is material, we will provide reasonable advance notice on the Site. Your continued use of the Site after any change becomes effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Site.
